1. Eligibility. The Batting for Smiles promotion ("Promotion"), sponsored by Scottsdale Dental Arts and Fry's, is open only to legal Arizona residents of all ages. Employees, partners, officers, and directors (and their immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related) of Smith's Food and Drug Centers, Inc. dba Fry's Food and Drug Stores ("Fry's"), Jason D. McCargar, DMD, LTD ("Scottsdale Dental Arts"), AZPB Limited Partnership ("Arizona Diamondbacks"), AZPB REM Limited Partnership, AZPB FM Limited Partnership, Sports & Entertainment Services, LLC, Maricopa County Stadium District, Major League Baseball, and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Promotion are not eligible to participate or win a Prize.

2. How to Enter. The Promotion begins on August 4, 2009 and ends on September 25, 2009 ("Promotion Period"). No purchase is necessary. A purchase does not increase an entrant's chances of winning. There are two (2) ways to enter during the Promotion Period:

A. Purchasing Marked Items. Each entrant who is a Fry's D-backs V.I.P. Rewards Program member and purchases specially-marked dental products at participating Fry's stores is automatically entered into the Promotion.

B. By Mail. Each entrant who mails a 3 ½" x 5" card with his/her name, age, mailing address, and phone number to Batting for Smiles, Attn: Postcard Entries, 401 East Jefferson Street, Phoenix, AZ 85032, will also be entered into the Promotion. Such entries must be received by September 25, 2009. No mechanically produced entries will be accepted.

No other method of entry will be accepted. There is no limit on the number of entries that may be submitted. Entrants expressly agree to assume all risks of lost, late, incomplete, illegible, damaged, stolen, undelivered and/or misdirected entries, or for any inaccurate information. All entries shall become the property of Fry's, Scottsdale Dental, Arts, and the Arizona Diamondbacks and may be used for marketing and solicitation purposes.

3. Drawing from Entries. On September 28, 2009, Fry's shall randomly select one (1) entry to receive a Grand Prize, four (4) entries to receive a Second Prize, and five (5) entries to receive a Third Prize (each a "Prize"). Entrants selected to win a Prize shall not be eligible for drawings for other Prizes. The odds of being selected depend on the number of eligible entries received. Fry's will make two (2) attempts to notify each winner by telephone. In order to receive the Prize, each winner will receive an Affidavit, Prize Claim, and Release which must be executed and returned to Fry's by mail or hand delivery no later than two (2) business days after the winner's receipt. If a winner is a minor, his/her parent or legal guardian must execute the Affidavit, Prize Claim, and Release. If a winner cannot be contacted within twenty-four (24) hours of the final attempted notification, or does not timely deliver the Affidavit, Prize Claim, and Release, the winner shall be deemed to have forfeited his/her entry and an alternate winner shall be selected from the remaining eligible entries.

A. Grand Prize. One (1) winner will receive the following "Grand Prize": A visit from an Arizona Diamondbacks player, D. Baxter the Bobcat, the Rally Backs, and Dr. Jason McCargar to a designated child's school. The duration of the visit shall be one (1) hour and scheduled to occur during the week of October 5-9, 2009. The school must be within sixty (60) miles of Phoenix, Arizona. Specific details of the visit shall be agreed upon by the Arizona Diamondbacks, the winner, and the designated school. Estimated Retail Value ("

") of the Grand Prize is $500.00.

B. Second Prize. Four (4) winners will receive the following "Second Prize": Four (4) lower level tickets to a 2010 Arizona Diamondbacks home game (date to be determined); an Arizona Diamondbacks hat; and an Arizona Diamondbacks gift bag. ERV of each Second Prize is $300.00.

C. Third Prize. Five (5) winners will receive the following "Third Prize": An Arizona Diamondbacks gift bag. ERV of each Third Prize is $50.00.

5. Prize Policy. Prizes are non-transferable. No substitution, cash equivalent, or transfer of Prizes is permitted except in Fry's sole discretion. Fry's, Scottsdale Dental Arts, and the Arizona Diamondbacks reserve the right to substitute any Prize with a Prize of equal or greater value. All federal, state, and local taxes associated with each Prize are each winner's sole responsibility. A Form 1099 may be issued based on the value of the Prize. A Prize will not be awarded to any person deemed by Fry's in its sole discretion as ineligible for any reason. In such event, the Prize shall be forfeited and will be given to an alternate winner selected from the remaining eligible entries. All travel and transportation costs are the sole responsibility of the winners. The winners waive any liability for any personal injuries or damages, which might arise from winning, transportation, acceptance of, use of, or travel related to any Prize.

6. Restrictions. The Promotion is void where prohibited by law and subject to all applicable federal, state, and local laws, rules and regulations. In the event any portion of these Official Rules is deemed invalid for any reason, such portion shall be severed from these Official Rules and the remaining portions shall remain in full force and effect. Participating in the Promotion constitutes acceptance of these Official Rules and the final decision of Fry's as the sole judge of the Promotion. Should a winner make any false statement in connection with the Promotion or is otherwise deemed ineligible, the winner will be required to promptly return to Fry's, upon demand, his/her Prize. Fry's reserves the right to modify these Official Rules or discontinue the Promotion at any time without notice.

7. Limitation of Liability. Neither Fry's, Scottsdale Dental Arts, the Arizona Diamondbacks, nor any of their respective parents, affiliates, subsidiaries, divisions and/or advertising or promotion agencies are responsible for: (a) printing or typographical errors in any Promotion-related materials; (b) transactions that are processed late, incorrectly or are lost; or (c) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information. If for any reason the Promotion (or any portion thereof) is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion (or any portion thereof), Fry's reserve the right, in its sole discretion, to cancel, modify, or terminate the Promotion (or any portion thereof).

8. Release of Liability. All entrants agree to release, discharge and hold harmless Fry's, Scottsdale Dental Arts, the Arizona Diamondbacks, AZPB REM Limited Partnership, AZPB FM Limited Partnership, Sports & Entertainment Services, LLC, Maricopa County Stadium District, Major League Baseball, and their respective parent corporations, subsidiaries and affiliates, together with their owners, partners, employees, officers, directors and agents, including advertising and promotion agencies, from and against any and all claims, demands, injuries, losses and liabilities arising out of the Promotion or from the receipt or use of any Prize or any travel or activity related to the receipt or use of any Prize. Each participant, by entering the Promotion and/or accepting a Prize, accepts all Prize conditions and grants to Fry's, Scottsdale Dental Arts, the Arizona Diamondbacks, and their respective designees the right to publicize such participant's name, address (city and state of residence), photograph, voice and/or other likeness and Prize information in any media now known or hereafter devised, throughout the world, in perpetuity without additional compensation or consideration, notification, or permission, unless prohibited by law.

9. Winners List. To receive a list of winners, send a self-addressed stamped envelope to Batting for Smiles Winners List, P.O. Box 1043, Tolleson, AZ 85353-1043, between October 1, 2009 and October 31, 2009.

10. Governing Law. The Promotion shall be governed by and interpreted under the laws of Arizona without regard to its conflicts of law provisions. By participating, each entrant agrees that any and all disputes arising out of or relating in any way to the Promotion shall be litigated only in courts sitting in Phoenix, Arizona.
